Board of Directors



The Board of Directors is composed of 14 members, including the Chairman and the Managing Director, all appointed for a six-year term. Administrative supervision is exercised by two government commissioners, who also take part in the deliberations, in an advisory capacity. The Board meets, behind closed doors, on average once a month.

As its name indicates, the Board directs the company and, to do so, it accomplishes all acts necessary or useful for the business purpose to be achieved. It can delegate its powers, in part or in whole, to the Management Committee, except for:
- Approval of the Management Contract,
- Establishment of the business plan and the general strategy,
- Establishment of the inventory, the annual accounts and the annual report,
- Laying down the supervision and the regulation of the personnel,
- Control of the Management Committee’s management.

Within itself, the Board has constituted three committees (Strategic, Audit and Remuneration) charged to assist it in its work. In the absence of consensus, decisions are made by simple majority of the votes cast, except for the approval of the Management Contract, which requires a two-thirds majority.
